These Terms & Conditions apply to the ValueStack web application, value-stack-ochre.vercel.app, and the related account, AI, payment, and support services used to operate ValueStack. “ValueStack,” “we,” “us,” and “our” refer to the independent developer operating the ValueStack product.
By creating an account, purchasing paid access, or otherwise using ValueStack, you agree to these Terms. If you do not agree, do not use the Service.
1. What ValueStack provides
ValueStack is an AI-guided business planning and decision-support service. It can help you evaluate business opportunities, identify uncertainties, research markets, develop potential solutions, and plan validation or execution steps.
ValueStack is a decision-support tool. It does not operate your business, make decisions on your behalf, or guarantee that a business, opportunity, recommendation, forecast, validation result, or suggested action will succeed or produce revenue.
2. Eligibility and accounts
You must be at least 18 years old, or the age of legal majority in your jurisdiction if higher, to create an account unless applicable law permits otherwise.
You are responsible for keeping your login credentials secure and for activity carried out through your account. Information you provide to ValueStack should be accurate enough for the Service to operate as intended.
3. AI-generated content and research
ValueStack uses artificial intelligence, including services provided by OpenAI, to analyse user inputs, perform or summarise research, and generate guidance, recommendations, explanations, and other outputs.
AI-generated information can be incomplete, inaccurate, outdated, or unsuitable for your circumstances. You should independently assess important information before relying on it for consequential business decisions.
ValueStack does not provide legal, financial, tax, investment, accounting, medical, or other regulated professional advice. You should obtain appropriate professional advice where necessary.
4. Your content
You retain your rights in the information, ideas, text, and other material you submit to ValueStack. You give us a limited right to host, store, reproduce, transmit, and process that material only as reasonably necessary to operate, secure, improve, and provide the Service, subject to our Privacy Policy.
You must have the right to submit the information you provide. Do not submit material that is unlawful, infringes another person’s rights, or that you are prohibited from sharing.
5. Use of outputs
Subject to these Terms and applicable law, you may use outputs generated for you by ValueStack for your own personal or business purposes. AI systems may generate similar or identical output for different users, so outputs are not guaranteed to be unique or capable of intellectual-property protection.
You remain responsible for how you use any output and for checking whether your intended use infringes third-party rights or violates applicable law.
6. Acceptable and fair use
You must not use ValueStack to:
- break the law or encourage unlawful conduct;
- infringe intellectual-property, privacy, or other rights;
- upload malicious code or interfere with the Service or its security;
- attempt to gain unauthorised access to accounts, systems, or data;
- scrape, reverse engineer, or systematically extract the Service except where the law expressly permits it; or
- misrepresent AI-generated material as independently verified where that would be misleading.
ValueStack and its included AI and research features are intended for ordinary interactive use by the account holder to work on their own business decisions. Unless we expressly agree otherwise, you must not share or resell account access, use bots, scripts, or other automation to generate bulk requests, use the Service as a general-purpose API or bulk-content service, create duplicate accounts to evade limits, or attempt to manipulate credits, usage controls, or the Completion Guarantee.
We may apply reasonable rate, resource, and technical limits where necessary to protect the Service, other users, or third-party systems. If usage is materially excessive, automated, abusive, or designed to circumvent an included allowance, we may restrict or suspend the affected usage. Where practical, we will give notice and an opportunity to correct the issue first. These fair-use rules do not reduce any specific paid entitlement shown at checkout when used as intended, and they do not limit mandatory consumer rights.
7. Paid access, credits, billing, and the Completion Guarantee
If you purchase Builder Pass or another paid offering, the price, included credits, features, and any duration or billing frequency shown at checkout form part of these Terms. Payments are processed by Stripe.
Builder Pass is a one-time purchase unless the checkout page expressly identifies an offering as recurring. If you purchase a recurring plan, you authorise the applicable fee to be charged at each renewal until you cancel. You can cancel any recurring plan using the controls we make available or by contacting us at valuestackhq@gmail.com.
Credits are a usage allowance for eligible ValueStack features. They are not money, have no cash value, and cannot be transferred or exchanged except where applicable law requires otherwise.
Where a paid offering includes the “Completion Guarantee,” it means that if your included credits reach zero while a customer test is already in progress, ValueStack will allow the reasonable additional in-app AI usage needed to bring that same active test through its review and decision stage, subject to these Terms and technical availability.
The Completion Guarantee is not unlimited use. It does not cover starting a new test, unrelated research or work, repeated restarts or extensions, multiple concurrent tests or projects, bulk or automated usage, or activity designed to exhaust credits or trigger the guarantee. We may limit completion access to the actions reasonably necessary to finish the active test.
The Completion Guarantee concerns continued access to finish eligible active work. It does not guarantee a positive or conclusive result, successful validation, revenue, product-market fit, or business success.
Fees already paid are non-refundable except where required by law or where we expressly agree otherwise. Nothing in these Terms limits any statutory cancellation, refund, repair, repeat-performance, or other consumer rights that apply to you.
8. Third-party services
ValueStack relies on third-party services including OpenAI, Supabase, Google, Stripe, Vercel, and Google Analytics. Their services may be subject to separate terms and privacy practices. We are not responsible for third-party services outside our reasonable control, but this does not affect responsibilities that applicable law places on ValueStack.
9. Intellectual property
The ValueStack software, interface, branding, design, documentation, and other materials supplied by us are owned by or licensed to ValueStack and are protected by applicable intellectual-property laws. These Terms give you a limited, non-exclusive, non-transferable right to use the Service for its intended purpose while your account remains authorised.
10. Service availability and changes
We may modify, add, remove, or discontinue features as the product develops. We may also perform maintenance or experience interruptions. We do not promise uninterrupted or error-free availability.
If a material change adversely affects a paid service you have already purchased, any rights you have under applicable consumer law remain unaffected.
11. Suspension and termination
You may stop using ValueStack at any time. We may suspend or terminate access where reasonably necessary because of a material breach of these Terms, suspected fraud or abuse, security risk, legal requirement, or conduct that could harm the Service or others.
Where appropriate, we will give reasonable notice or an opportunity to remedy a breach before termination. We may act immediately where a serious security, legal, fraud, or abuse risk requires it.
12. Disclaimers
To the extent permitted by law, ValueStack is provided on an “as available” basis. We do not warrant that AI outputs, market research, recommendations, forecasts, or other information will be complete, accurate, current, or suitable for a particular business decision.
Nothing in these Terms excludes any guarantee, warranty, term, or remedy that cannot lawfully be excluded, including mandatory consumer rights relating to digital services.
13. Limitation of liability
Nothing in these Terms excludes or limits liability where doing so would be unlawful, including liability for fraud or fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that cannot legally be excluded or limited.
To the maximum extent permitted by law, ValueStack is not liable for indirect or consequential loss, loss of anticipated profits, loss of opportunity, or business decisions made in reliance on AI-generated output where such losses were not reasonably foreseeable or where the law permits their exclusion.
Where a monetary liability cap is legally permitted and you have paid for the Service, ValueStack’s aggregate liability arising out of or relating to the Service will not exceed the amount you paid to ValueStack during the 12 months immediately preceding the event giving rise to the claim.
These limitations do not reduce any mandatory rights or remedies you have as a consumer.
14. Privacy
Our Privacy Policy explains how we collect, use, store, and share personal information when you use ValueStack.
15. Changes to these Terms
We may update these Terms from time to time. The date at the top shows when they were last updated. If a change materially affects your use of the Service, we will provide reasonable notice where required by law. Continued use after an updated version takes effect constitutes acceptance to the extent permitted by law.
16. Governing law
These Terms are governed by the laws of England and Wales. If you are a consumer, this does not deprive you of mandatory protections provided by the law of the country in which you live, and you may have the right to bring proceedings in your local courts where applicable law allows.
